2. Using this website

By using this website, you agree to these terms. If you do not agree, please do not use the website. You may use the website to learn about our services and to contact us about a potential project, provided your use is lawful and consistent with these terms.

3. Information you provide

When you send an enquiry or otherwise communicate with us, please make sure the information you provide is accurate, current, and your own or provided with appropriate authority. Inaccurate or incomplete information may affect our ability to understand your requirement or prepare a suitable proposal. Please do not include passwords, access credentials, or sensitive personal information in an enquiry.

4. Intellectual property

Unless stated otherwise, the content of this website, including its text, layout, graphics, original illustrations, icons, and brand elements such as the Priyanshu Software Development name and logo, belongs to us or is used with permission. You may view the website and print or save pages for your own reference. You may not copy, reproduce, republish, or use website content for commercial purposes without our prior written permission, except as permitted by law.

Third-party names, trademarks, and products mentioned on this website, such as Google or WhatsApp, belong to their respective owners. Their mention does not indicate any partnership, endorsement, or affiliation.

5. Prohibited use

You must not use this website to:

  • break any applicable law or regulation, or infringe anyone's rights;
  • send unsolicited advertising, spam, or misleading, offensive, or unlawful material;
  • attempt to gain unauthorised access to the website, its hosting, or any related systems;
  • introduce malware or other harmful code, or interfere with the website's normal operation;
  • scrape, harvest, or collect information from the website by automated means beyond ordinary search engine indexing; or
  • impersonate another person or misrepresent your connection with any organisation.

6. Third-party services and links

This website may link to third-party services, such as WhatsApp or your email application, and our projects frequently involve third-party software, platforms, plugins, hosting, payment gateways, advertising platforms, and APIs. These services are provided by their owners under their own terms, pricing, and privacy policies. We do not control them and are not responsible for their availability, changes, content, or practices. Where third-party services are used in a project, how they are selected and who bears their costs will be set out in the applicable proposal or agreement.

7. Enquiries are not contracts

Sending an enquiry, requesting a quote, or discussing a project with us does not create a contract or commit either party to any work. Any budget range you select in the enquiry form is for guidance only and is not a price or quotation.

A project begins only when a written proposal, quotation, or service agreement has been accepted by both parties in the manner it specifies.

8. Proposals and project agreements

The commercial arrangement for each project is governed by the specific written proposal or service agreement for that project. Depending on the work, that document will typically describe:

  • the scope of work and the deliverables included;
  • what is excluded from the scope;
  • the number and handling of revisions;
  • milestones and an indicative timeline, and the dependencies that affect it;
  • fees, any third-party costs, applicable taxes, and the payment schedule;
  • acceptance criteria and the review process for deliverables;
  • ownership and licensing of deliverables;
  • any support, maintenance, or warranty arrangements; and
  • how changes to scope, cancellation, and termination will be handled.

If a proposal or service agreement conflicts with these website terms, the proposal or agreement applies to that project.

9. Client responsibilities

Projects depend on timely input from the client. Unless agreed otherwise in writing, clients are responsible for:

  • providing accurate requirements, content, images, and information within agreed timeframes;
  • ensuring they own, or have the necessary licences and permissions for, any content, trademarks, data, or materials they supply;
  • providing the access credentials and account permissions needed for the work, and managing their own accounts securely;
  • reviewing and approving deliverables within the agreed review periods; and
  • complying with laws that apply to their own business, products, marketing claims, and use of customer data.

Delays in client input or approvals can affect timelines. The applicable agreement will explain how such delays are handled.

10. Project deliverables

Ownership of, and rights to use, project deliverables are determined by the applicable written agreement. Unless that agreement states otherwise, the following principles are intended to apply:

  • rights in deliverables created specifically for a client transfer, or are licensed, as set out in the agreement, typically once the related fees have been paid;
  • third-party components, such as open-source software, themes, plugins, fonts, stock media, and platform services, remain subject to their own licences;
  • pre-existing tools, code libraries, and know-how that we use across projects remain ours, and the client receives the rights needed to use them as part of the delivered work; and
  • we may wish to reference completed work in our portfolio only with the client's permission and subject to any confidentiality obligations.

11. Website availability

We aim to keep this website available and its information accurate and current, but we cannot guarantee that it will always be available, uninterrupted, or free of errors. Access may be affected by maintenance, technical issues, or factors outside our control. Information on the website is general in nature and does not constitute an offer, a quotation, or professional advice for your specific situation.

12. Warranties and liability

To the extent permitted by applicable law, the website is provided on an "as available" basis, and we do not give warranties about it beyond those that cannot be excluded by law. Any warranties relating to project work are those set out in the applicable written agreement.

Digital marketing outcomes, such as search rankings, traffic, leads, sales, or advertising returns, depend on many factors outside our control, including search engine and platform decisions, competition, and market conditions. We do not guarantee specific results unless expressly agreed in writing.

To the extent permitted by law, we are not liable for indirect or consequential loss arising from your use of this website. Our liability for project work is as set out in the applicable agreement. Nothing in these terms excludes or limits any liability, or any right you may have, that cannot be excluded or limited under applicable law, including rights available to consumers.

13. Suspension and termination

We may restrict or suspend access to this website, or to any part of it, where reasonably necessary, for example for maintenance, security, or in response to a breach of these terms. The termination of a project is governed by the applicable written agreement and our Service Cancellation & Refund Policy.

14. Governing law and jurisdiction

These terms are governed by the laws of India. Subject to applicable law, the courts at Jaipur, Rajasthan, will have jurisdiction over disputes relating to these terms or your use of this website. This does not affect any right you may have under applicable law to bring proceedings in another forum, including before a consumer commission where available. A project agreement may contain its own provisions on governing law and dispute resolution.

Before taking formal action, we encourage you to contact us so that we can try to resolve any concern informally and in good faith.

15. Changes to these terms

We may update these terms from time to time to reflect changes to the website, our services, or applicable law. The "Last updated" date shows when they were last revised. Changes apply to your use of the website after they are published and do not alter an accepted project agreement unless both parties agree in writing.

16. Contact
